pursuant to Ashland's Deferred
Compensation and Stock Incentive Plan for Non-Employee
Directors.
4. Common Stock Units acquired pursuant to Ashland's Deferred Compensation and
Stock Incentive Plan for
Non-Employee Directors as of 9-30-99 and includes transactions occurring on or
after 10-1-98, payable in cash
