EXPLANATORY NOTE
This Amendment to the quarterly report on Form 10-Q for the quarter
ended December 31, 1994, of Ashland Inc. ("Ashland") is being filed by Ashland
to amend Ashland's Exhibit 27 - Financial Data Schedule.
