Item 8.01.  Other Events

 

Ashland Global Holdings Inc. today announced that, on August 12, 2019, the U.S. Federal Trade Commission granted early termination, effective immediately, of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the previously announced sale of certain assets of Ashland’s composites business and the Marl BDO facility transaction (the “Composites Sale”) to INEOS Enterprises Holdings Limited pursuant to that certain Stock and Asset Purchase Agreement, as amended. On August 13, 2019, the Anti-Monopoly Bureau of China’s State Administration for Market Regulation granted a notice of clearance with respect to the Composites Sale. There are no further regulatory approvals outstanding with respect to the Composites Sale.

Ashland and INEOS are working together to close the Composites Sale as soon as possible in accordance with the Stock and Asset Purchase Agreement and continue to expect a closing in the late summer 2019.

Ashland announces receipt of remaining regulatory approvals related to the sale of its Composites business and butanediol facility in Marl, Germany to INEOS Enterprises

 

COVINGTON, KENTUCKY, August 14, 2019 – Ashland Global Holdings Inc. (NYSE: ASH) today announced it has received the remaining regulatory approvals needed to close the previously announced sale of certain assets of Ashland’s Composites business and butanediol facility in Marl, Germany to INEOS Enterprises Holdings Limited. Ashland and INEOS are working together to close the transaction as soon as possible in accordance with the Stock and Asset Purchase Agreement and continue to expect a closing in the late summer of 2019.
